Legal Entity Restructuring

Sliding Line
  • Our client, a fast-growing AI company, had rapidly expanded through multiple acquisitions. To comply with local employment legislation and help facilitate post-acquisition integration, they faced the strategic challenge of transferring 2,000 employees from two legacy entities into a single, newly established legal entity.

This project was mainly driven by compliance but had added complexity from the requirement to retain knowledge, reduce turnover, and avoid high administrative costs. With multiple workstreams and jurisdictions, aligning cultures, systems, and roles was a significant challenge, but it was only made more difficult as the client had a tight two-month deadline.

Exevion provided programme management and subject matter expertise to navigate complexity and deliver on time and budget.

  • To meet the project’s objectives within the tight timeframe, Exevion introduced the following measures:

    • Governance Structure: Established a structured governance framework, including weekly progress updates, bi-weekly programme boards, and steering committee meetings to ensure strategic alignment and timely intervention

    • Defined Critical Path: Developed a detailed project management plan outlining key actions across legal, treasury, finance, HR, and technology to streamline execution and prioritise essential tasks

    • Reporting Framework: Introduced regular reporting sessions and touchpoints to track progress, facilitate key decisions, and proactively address risks and issues

    • Stakeholder Alignment: Engaged key stakeholders across entities to ensure clarity on roles, responsibilities, and dependencies, reducing misalignment risks

    • Risk Mitigation Plan: Identified potential bottlenecks early and implemented contingency plans to maintain momentum and avoid delays

  • Exevion’s structured approach delivered measurable business impact:

    • Seamless Workforce Transition: Transferred nearly 2,000 employees into the new entity, preserving institutional knowledge, reducing attrition by 15%, and avoiding rehiring costs exceeding £450K

    • Agile Execution Model: Designed a hybrid approach that prioritised critical activities, reducing time-to-implementation by 30% while allowing flexibility for non-critical workstreams to ensure minimal disruption

    • Data-Driven Decision-Making: Established a robust reporting framework that provided senior stakeholders with real-time insights, improving decision-making speed by 40% and ensuring all milestones were met within the two-month deadline

  • Exevion successfully delivered the employee migration project within strict timelines. Through a structured approach, we ensured compliance with employment legislation, maintained operational stability, and avoided significant rehiring costs for the business.
